Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website visualboston.com and any related content, tools, products, and services offered by VisualBoston, Inc. ("VisualBoston," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are

VisualBoston, Inc. is a product design and development agency incorporated in the Commonwealth of Massachusetts, with a business address at 66 Winter Street, Norwood, MA 02062, USA. We provide Services to clients located both within and outside the United States.

2. Eligibility and Acceptable Use

You must be at least 18 years old and able to form a binding contract to use the Services. You agree not to: (a) use the Services for any unlawful, infringing, or harmful purpose; (b) attempt to gain unauthorized access to the Site, its servers, or related systems; (c) interfere with or disrupt the integrity or performance of the Services; (d) scrape, harvest, or collect data from the Site except as permitted; (e) introduce malware or malicious code; or (f) misrepresent your identity or affiliation.

3. Site Content and Intellectual Property

Unless otherwise stated, all content on the Site, including text, graphics, logos, the VisualBoston name and marks, case studies, designs, code, and layout, is owned by VisualBoston or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business evaluation. You may not copy, reproduce, distribute, modify, or create derivative works from the Site content without our prior written permission.

4. Client Services and Separate Agreements

Inquiries, quotes, proposals, and budget ranges presented on or submitted through the Site are for informational purposes and do not constitute a binding offer. Any engagement for design, development, AI-training, or related Services will be governed by a separate written agreement (e.g., a statement of work or master services agreement) executed between you and VisualBoston. In the event of a conflict between these Terms and a signed services agreement, the signed services agreement controls with respect to that engagement.

5. Products (e.g., TallyQuote)

Certain software products we offer may be governed by their own terms, end-user license agreements, and privacy notices presented at the point of sign-up. Where a product has its own terms, those terms control for that product to the extent of any conflict with these Terms.

6. Interactive Features

The Site may include games, leaderboards, and other interactive features. Leaderboard entries (such as initials and scores) may be displayed publicly on the Site. You agree not to submit initials or other content that is offensive, misleading, or infringes the rights of others, and not to manipulate scores or rankings through automated means. We may remove or modify any leaderboard entry, or discontinue any interactive feature, at any time and at our sole discretion.

7. Submissions and Feedback

If you send us ideas, suggestions, or feedback about the Services ("Feedback"), you grant VisualBoston a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback for any purpose without obligation or compensation to you.

8. Third-Party Services

The Services rely on and link to third-party providers (including Vercel, Airtable, Mailchimp, Google Analytics, Ahrefs, and Calendly). We are not responsible for the availability, content, or practices of third-party services, and your use of them may be subject to their own terms.

9. International Use and Export

The Services are controlled and operated from the United States. If you access the Services from outside the United States, you are responsible for compliance with local laws. You represent that you are not located in, and will not use the Services in violation of, any applicable export-control or sanctions laws.

10. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISUALBOSTON AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE A SIGNED SERVICES AGREEMENT PROVIDES OTHERWISE FOR THAT ENGAGEMENT. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING CERTAIN RIGHTS OF CONSUMERS UNDER NON-U.S. LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless VisualBoston and its officers, directors, shareholders, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Services or your violation of these Terms or applicable law.

13. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Norfolk County, Massachusetts (or another appropriate Massachusetts venue), and you consent to the personal jurisdiction of those courts. Nothing in this section affects any dispute-resolution terms in a separate signed services agreement, and nothing in this section deprives a consumer of the protection of mandatory consumer-protection laws of their country of residence where such laws apply.

14. Changes to These Terms

We may modify these Terms at any time by posting the revised version on the Site with an updated effective date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.
